無議決権株式の対応
【売り手からの質問】
対象会社は種類株式（無議決権の株式）を発行しており、普通株式も合わせた全体の株式数でいうと、議決権のない株式が全体の4割近くを占めます。
M&Aの際に普通株式と種類株式で価値が違うと捉えて、1株当たりの売却金額に差をつけても問題無いでしょうか。
無議決権株式は主に従業員が保有しており、あまりM&Aの対価を配分したくないのですが。

自己株式を買い手に処分する際の留意点
【前提】
・少数株主からM&A前に自己株買いを行うが、対象会社に資金が無いため、株主である社長個人から借入をして、自己株買いをしました（1億円）
・M&Aに伴い、買い手から対象会社にお金を貸して、そのお金で対象会社から社長へ返済することを検討しています。
【買い手からの質問】
上記をすると、最終的に買い手からの借入金が対象会社のBSに残ってしまい、なんか気持ち悪いです…。
そこで自己株式を1億円で買い取れば、借入金も残らずいいかなと思います。いかがでしょうか。
